Welcome to iAuthor. These terms and conditions apply exclusively to your access to, and use of, the iAuthor website (owned by iAuthor Ltd, Company registration No. 07914235), located at www.iauthor.uk.com (the "website"), and any official iAuthor groups/profiles across all media.

The term "we" in this agreement refers to iAuthor Ltd. The term "you" refers to both visitors and users. Your use of the website will be deemed acceptance of all of the below. Acceptance means that you agree to be legally bound by the terms and conditions contained in this agreement.

Very occasionally, iAuthor may modify the below terms and conditions to reflect changes in the law. In such cases, we'll update this page to reflect all changes. Changes are effective from the moment they are posted here. Please check this page periodically to ensure that all changes meet with your approval.

This policy is effective from 19th December 2014.

1. COPYRIGHT

All website content uploaded by us or pre-existing, such as text, our company slogan, graphics, logos, images, audio clips, digital downloads and data compilations, is the exclusive property of iAuthor, and is protected by United Kingdom and international copyright, as well as by database right laws.

All software used on this website is the exclusive property of iAuthor, and is protected by United Kingdom and international copyright.

2. TRADEMARKS

iAuthor is a registered trademark of iAuthor Ltd. iAuthor's graphics, logos, slogans, page headers, button icons, scripts and service names across all media, are the official trade dress of iAuthor Ltd. Trade dress may not be used in connection with any product or service that is not iAuthor's, in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits iAuthor. Any person guilty of the above may be liable to criminal prosecution and civil claims for damages.

3. YOUR ACCOUNT

You may not use the website if you are under the age of 13. If you are under the age of 18 but over the age of 13, you may not use the website without the consent of your parents or guardian. 

If you use the website, you are responsible for maintaining the confidentiality of your account and password, and for restricting access to your device to prevent unauthorised access to your account. You agree to accept responsibility for all activities that occur under your account or password. You should take all necessary steps to ensure that the password is kept confidential and secure, and should inform us immediately if you have any reason to believe that your password has become known to anyone else, or if the password is being, or is likely to be, used in an unauthorised manner.

Please ensure that the details you provide are correct and complete.

iAuthor reserves the right to refuse access to the website, terminate accounts, remove content or edit content at our discretion. Where the content is offensive, infringes the rights of any third party, threatens the safety of any person or is otherwise unlawful, iAuthor will not be required to provide any reason for deleting such content, or enter into any dialogue with you. Our decision will be final. 

4. USER-GENERATED CONTENT

iAuthor respects the intellectual property of others. By uploading content, you confirm that you are the copyright-holder, or that you have secured the permission of the copyright-holder. Any misuse of copyright material/intellectual property is solely your responsibility. You agree to indemnify iAuthor accordingly.

iAuthor is not responsible for any content posted by users on our website and/or affiliated platforms, nor the content of any external sites. We assume no liability for material which is inaccurate, inappropriate, profane, abusive, racist, ultra-violent, defamatory, homophobic, sexually explicit, or otherwise incompatible with the values of the iAuthor community.

iAuthor reserves the right to remove content which falls into one or more of the above categories. We will not be required to provide any reason for deleting such content, or enter into any dialogue with you. Our decision will be final. 

5. CONTENT OWNERSHIP

We do not claim any right of ownership over content (inc. images) that you post on the website. After adding your content to iAuthor, you will continue to retain all your intellectual property ownership rights, and you will continue to have the right to use your content in any way you choose.

6. SITE ACCESS

We will do our utmost to ensure that availability of the website will be uninterrupted and that transmissions will be error-free. However, due to the nature of the internet, this cannot be guaranteed. Also, your access to the website may occasionally be suspended or restricted to allow for repairs, maintenance, or the introduction of new facilities or services. We will strive to limit the frequency and duration of any such suspension or restriction.

7. YOUR CONDUCT

We want the iAuthor website to be a welcoming and engaging environment for all users, and so require you to post content that is relevant and respectful.

You must not use the website in any way that causes, or is likely to cause, the website or access to it to be interrupted, damaged or impaired in any way.

The following is a partial list of the type of activity that is illegal, and thus prohibited on the website. We reserve the right to take appropriate action against anyone who violates these provisions, including but not limited to, reporting you to the relevant law enforcement authorities. Prohibited activity includes, but is not limited to:

- Harassing, stalking, threatening, defaming and/or impersonating others.

- Causing annoyance, inconvenience or needless anxiety.

- Uploading content in breach of copyright, trademarks, privacy or any other right.

- Uploading content that is thematically inappropriate to iAuthor and/or iAuthor's subject categories, or inconsistent with our guidelines, e.g. using iAuthor for political or religious campaigning.

- Uploading files that contains viruses, worms, trojans, spyware, rootkits and other malware.

- Transmitting "junk mail", "chain letters", unsolicited mass mailing, instant messaging, "spamming" and/or "spimming".

- Interfering with, disrupting, or creating an undue burden on the website and/or the networks supporting the website.

- Disclosing your password to any third party, or permitting third-party access to your account.

- Selling or otherwise transferring your account.

You are wholly responsible for your conduct on the website. iAuthor reserves the right to ban users whose conduct is incompatible with the values of our community. In such an event, we will not be required to provide any explanation.

8. NOTICE AND TAKEDOWN

As we only act as a host for what is a user-curated discovery platform, it is not possible for iAuthor to review all content prior to upload. Accordingly, we operate on a "notice and takedown" basis. If you believe the website contains a defamatory statement, please notify us immediately. We will do our utmost to remove the defamatory content within a reasonable time.

Important Warning: providing fraudulent, frivolous, misleading or inaccurate information may result in civil or criminal liability. Please note that we will not be able to respond if you do not provide a valid address and post code/ZIP code. 

9. ELECTRONIC COMMUNICATION

When you visit our website or send emails to iAuthor, you are communicating with us electronically. We communicate with you by email or by posting notices on the website. For contractual purposes, you consent to receive communications from us electronically and you agree that all notices, disclosures and other communications that we provide electronically satisfy any legal requirement that such communications be in writing. This condition does not affect your statutory rights.

10. INDEMNITY

You have sole responsibility for all content you submit to iAuthor. You hereby indemnify us and undertake to keep us indemnified against all losses, including but not limited to, damage to our reputation, material damages, costs, liabilities and expenses (including all legal expenses and any amounts paid by us to a third party in settlement of a claim or dispute on the recommendation of our legal advisers) incurred or suffered by us, directly or indirectly, out of any breach by you of these terms and conditions.

11. WAIVER

If you breach these conditions and we take no action, we will still be entitled to use our rights and remedies in any other situation where you breach these conditions.

12. LANGUAGE, GOVERNING LAW AND JURISDICTION

English is the only language offered for these terms and conditions. 

These terms and conditions are governed by, and are to be construed in accordance with, English law. 

You agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute which may arise out of, or in connection with, these terms and conditions. This shall not prevent us from carrying out any interlocutory relief in the courts of any other jurisdiction.

13. SEVERABILITY

If a provision of these terms and conditions is determined by a court or other competent authority to be unenforceable, all other provisions will remain in effect. If any unenforceable provision would be rendered enforceable if part of it were deleted, that part will be deemed to be deleted, and the rest of the provision will remain in effect.

14. ENTIRE AGREEMENT

These terms and conditions, together with our privacy policy, constitute the entire agreement between you and us in relation to your use of our website, and supersede all previous agreements in respect of your use of this website.

15. FORCE MAJEURE

iAuthor will not be held responsible for any delay or failure to perform any obligation owed to the other party due to reasons beyond our reasonable control. These include, but are not limited to, government legislation, war, riots, strikes, fire, flood, drought, pestilence, famine, act of terrorism, power failure and/or other unforeseen technical difficulties.
